About the role
As General Counsel, you will be the principal legal adviser to the CEO and Board, shaping the corporate, governance and legal architecture that underpins SQC’s next phase of growth.
This is a senior executive role with genuine influence and visibility. You will operate as a strategic partner to the CEO, Board and Senior Leadership Team, advising on capital strategy, governance, complex transactions and international structuring, while building a modern, scalable legal function suited to a fast‑moving, deep‑tech environment.
The role requires executive gravitas, sound commercial judgment and strong technical depth, with the ability to move seamlessly between strategic advisory and hands‑on execution.
Role responsibilities
Corporate, Capital & Strategic Transactions:
Lead legal strategy and execution across equity and debt capital raisings
Structure shareholder arrangements, investor rights and governance frameworks
Design and manage international corporate structures, subsidiaries and SPVs
Support M&A activity, minority investments and strategic joint ventures
Governance & Board Advisory:
Act as trusted adviser to the CEO, Chair and Board
Act as Company Secretary, overseeing Board and Committee governance processes, agendas, minutes and statutory records
Advise on directors’ duties, disclosure obligations and governance risk
Design and evolve governance frameworks aligned to growth, capital complexity and international engagement
Commercial & International Engagement:
Negotiate complex, multi‑party and cross‑border commercial arrangements
Support global partnerships, research collaborations and expansion initiatives
Manage specialist external counsel across multiple jurisdictions with strong cost and quality discipline
Balance commercial agility with disciplined, proportionate risk management
Leadership:
Build and lead an effective legal, governance, risk and compliance function
Design scalable processes, decision‑making frameworks and legal playbooks that enable the business to move quickly
Lead the implementation of an AI‑enabled legal operating model, using automation and self‑service to minimise headcount growth while maintaining quality and control
Ensure responsible and effective use of AI tools, protecting legal privilege, judgment quality and organisational trust
Your experience
You are an executive‑level legal leader who combines strategic perspective with hands‑on capability. You bring:
Deep expertise in corporate law, capital transactions and governance
Demonstrated experience with complex, cross‑border and (ideally) US‑facing matters
Experience in technology, deep‑tech or IP‑intensive environments
Strong Board advisory capability, with the confidence to influence senior executives and directors
A pragmatic, commercial mindset and the judgment to navigate high‑stakes decisions
You are comfortable operating in technically sophisticated, globally connected environments where innovation, capital and collaboration intersect. You see legal not as a control function, but as an enabler of growth – and you are motivated to build a modern legal function that scales through judgment, systems and intelligent use of technology.
The recruitment process
For roles at SQC, expect 3-4 interviews, meeting a few members of the team and focusing on your core eligibility for the role, your skills and how they align, and finally your values and how they align.
